TERMS OF USE

Welcome to Max Vision Solutions Private Limited (“MVS”, “we”, “our”, “us”). By accessing our website, using our services, accepting a quotation, or engaging with us in any form, you (“Client”, “you”, “your”) agree to the following Terms of Use. These terms govern all projects, services, deliverables, and communications with Max Vision Solutions Private Limited.

1. Quotation, Estimates & Acceptance

• All estimates and quotations are prepared based on our understanding of your requirements and the provided timeframe.
• Any changes in project scope, features, functionality, or micro-improvements may incur additional charges.
• By accepting a quotation—verbally, by email, through payment, or by signing—you agree to these Terms of Use.
• Clients are responsible for confirming that all requirements are accurately included in the estimate/proposal.

2. Client Responsibilities

• Clients must provide complete, clear, and detailed project requirements.
• If requirements are not fully defined, MVS will proceed based on its understanding. Any discrepancies identified later may require additional costs.
• All project content, materials, assets, and documentation must be provided within the first two weeks of the project start.
• Delays in content or approvals from the client may delay the project timeline and incur additional charges.

3. Project Timelines & Communication

• MVS will make reasonable efforts to complete the project within agreed timelines.
• Redefined or modified functionalities may extend delivery timelines.
• All communication will be conducted primarily via email unless stated otherwise.
• If the client is unresponsive for more than two (2) months, the project will be marked as closed. 

Reactivation will require mutual terms and may include additional fees.

4. Project Holds & Inactivity Fees

• If a project is stalled for over two calendar months without prior notice, an administration fee of $99 per week applies.
• If the client requests a project hold, it must be communicated in writing.
• A project can only be paused without charges if the client’s account is up to date based on work completed.

5. Revisions, Changes & Additional Work

• Minor changes may be included within allocated project hours and reviewed case-by-case.
• Any design change after approval will incur additional charges.
• Re-work on completed tasks is billable.
• Any modifications requested during development or after Go-Live approval are chargeable.
• Bugs or programming errors reported during development or shortly after delivery will be fixed at no extra cost.

6. Testing & Browser Compatibility

• Websites and applications are tested on modern versions of major browsers: Chrome, Firefox, Safari, and Edge.
• Responsive testing is performed on standard iPhone/iPad resolutions.
• Additional browser or device testing must be requested in advance and may incur extra costs.

7. Hosting & Deployment

• If the client opts for third-party hosting, MVS is not responsible for server-related issues.
• Additional man-hours due to hosting/server problems are billable.
• Full access to hosting must be provided for deployment and testing.
• Test server access is not provided to clients or third parties.
• Transfer to a third-party server will be done only after full payment of all dues.

8. Intellectual Property & Code Ownership

• All custom software code developed by MVS (excluding open-source components) is the intellectual property of Max Vision Solutions.
• A usage license is granted to the client after full payment.
• Source code can be handed over at an additional cost and may only be used by the client for their own internal/business needs.
• Code cannot be resold, redistributed, or used for duplication under any circumstances.
• MVS CMS and proprietary tools cannot be transferred to external hosting environments.

9. Third-Party Products & Integrations

• Third-party components (hosting, plugins, SSL, payment gateways, APIs, ads credits, licenses, etc.) are not included in quotes unless explicitly stated.
• MVS is not responsible for limitations, failures, or changes in third-party services.
• Integration delays caused by third-party providers are not the responsibility of MVS.

10. Domain & Hosting Services

• Domain registration and renewal charges are not included unless specifically mentioned.
• Hosting fees are separate unless included in the quotation.
• If clients choose their own hosting, they must ensure compatibility with the technologies used.

11. Licensing for Graphics, Text & Design Elements

Upon full payment, the client receives an unconditional license to use:

• Graphics
• Text
• Images
• Front-end design elements

This license does not include:

• Backend code
• Database structures
• Scripts
• The proprietary CMS
• Business logic
• Project-specific digital strategies

12. Limitation of Liability

Max Vision Solutions is not liable for delays caused by:

• Changes in project scope
• Third-party components
• Client-side delays
• Server/hosting issues
• Unclear requirements

Under no circumstance shall MVS be liable for loss of revenue, data, or business resulting from project delays or third-party service failures.

13. Warranty & Support

• A limited warranty period (defined in proposal) is provided for bug fixes.
• Enhancements, new features, or changes after delivery are not covered under warranty.
• Ongoing maintenance and support are available under a separate contract.

14. Privacy & Confidentiality

• Both parties agree to maintain confidentiality of shared information, documents, and credentials.
• MVS may showcase completed projects in its portfolio unless restricted by a written NDA.

15. Governing Law

These Terms are governed by the laws of India. Any disputes will be handled under the jurisdiction of Delhi, India.
